1. Acceptance of Terms
Welcome to Edu-Marketing-OS (“Company”, “We”, “Our”, “Platform”). By accessing or using our website, services, or software tools, you agree to be legally bound by these Terms of Service. If you do not agree, do not use our services.
2. Description of Services
Edu-Marketing-OS provides digital growth infrastructure including website development, SEO setup, Google Maps optimization, and WhatsApp funnel integration. Users acknowledge that our platform is evolving into a SaaS-based ecosystem, and these terms apply to both project-based services and subscription-based software services.
3. Scope of Work
Our scope is strictly limited to the technical setup of websites, SEO frameworks, and automation logic. We do not provide academic consulting, student counseling, or legal advice. Any work outside the agreed-upon Statement of Work (SOW) requires a separate agreement.
4. No Performance Guarantee Clause
We are a technology provider, not an admission agency. We do NOT guarantee a specific number of leads, Google ranking positions, revenue growth, or admission counts. Performance is subject to market variables beyond our control.
5. Client Responsibilities
Clients must provide accurate data, own the rights to provided content, and comply with local education regulations. Misleading claims or unauthorized use of third-party intellectual property by the client is strictly prohibited.
6. Intellectual Property Ownership
Clients retain ownership of their specific brand materials, images, and content. Edu-Marketing-OS retains exclusive ownership of all platform frameworks, system logic, code structures, and proprietary automation workflows developed or provided during the service.
7. Payment & Subscription Terms
Project-based services require upfront payment as per the invoice. Future SaaS or recurring features are governed by subscription terms. Failure to maintain active subscriptions may result in the suspension of hosted services and tool access.
8. Refund & Cancellation Policy
All payments are non-refundable once development work has commenced. Cancellations for recurring services require 30-day notice. We do not offer pro-rated refunds for partial billing cycles.
9. Third-Party Tools Disclaimer
We integrate with third-party services (Google, Meta, WhatsApp). We are not responsible for their service availability, policy changes, or account suspensions. All third-party costs (API fees, Ad spend) are the client's responsibility.
10. Limitation of Liability
To the maximum extent permitted by law, Edu-Marketing-OS shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, data, or admissions. Our total liability is capped at the amount paid by the client in the 30 days preceding the claim.
11. Indemnification
The client agrees to indemnify and hold harmless Edu-Marketing-OS against any claims, damages, or legal costs arising from the client's content, business operations, or violation of these terms.
12. Termination
We reserve the right to terminate access to the platform or services immediately if the client engages in fraudulent activities, illegal operations, or non-payment.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in the state where the Company is registered.
14. Future SaaS Transition
Edu-Marketing-OS reserves the right to transition service models to a subscription-based SaaS platform. Clients will be notified 30 days in advance, and continued use constitutes acceptance of updated SaaS terms.
